Error while migrating whole application from enterprise to developer edition

Hi,

I need to create a managed package but my application is being developed in enterprise edition. I came to know that we can't create managed package in this edition so for that i need to migrate my application to developer edition. I am using Force.com IDE--> Deploy to server  option for this.
While deploying , I am getting error -

   File Name:    package.xml
   Full Name:  package.xml
   Action:  NO ACTION
   Result:  FAILED
   Problem: Bad manifest file:Invalid byte 2 of 3-byte UTF-8 sequence.

   File Name:    package.xml
   Full Name:  package.xml
   Action:  NO ACTION
   Result:  FAILED
   Problem: No package.xml found

Please help me in resolving this issue ASAP as my work has got stuck because of this problem.

Refresh yours EE code from server and try to deploy it. or get the entercode in new  workpace and try to deploy it to yours developer account.these are all tril and error to find the extract problem.
