LastModifiedDate - Date and time when this record was last modified by a user. 

SystemModstamp - Date and time when this record was last modified by a user or by a workflow process (such as a trigger).

Hi Priyanka,
I think the LastmodifiedDate changes when you invoke a trigger on a certain object to act for updating any field.
The only time I found the lastModDate and SysModStamp to be different is when we request SFDC to edit the audit fields like LastModifiedDate for performing legacy data migration.
